# End-User License Agreement (EULA)

**Effective Date: July 27, 2025**

This End-User License Agreement ("EULA") is a legal agreement between you and Agri Flight LLC ("we," "us," or "our") for the Agri Flight Logs software application (the "Service"). By accessing or using the Service, you agree to be bound by the terms of this EULA.

## 1. License Grant

Subject to your compliance with our Terms of Service and this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes, specifically for managing and tracking agricultural drone flight data for FAA compliance reporting within the United States.

## 2. License Restrictions

You agree not to, and you will not permit others to:
a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service.
b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.
c. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of ours or our affiliates, partners, suppliers, or the licensors of the Service.
d. Use the Service for any purpose other than its intended use as a drone logbook and compliance reporting tool.

## 3. Intellectual Property

The Service, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights, is, and shall remain, the sole and exclusive property of Agri Flight LLC. This EULA does not grant you any rights to our trademarks or service marks.

## 4. Your Data

You retain all ownership rights to the data you submit to the Service ("User Data"). Our rights to access and use your User Data are governed by our Privacy Policy and Terms of Service. We do not sell your User Data to third-party data brokers. All User Data is stored and processed on secure Google Cloud and Firebase infrastructure located in the United States.

## 5. Termination

This EULA is effective until terminated. We may, in our sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice. This EULA will terminate immediately, without prior notice from us, in the event that you fail to comply with any provision of this EULA or the Terms of Service. Upon termination, you shall cease all use of the Service.

## 6. Disclaimer of Warranty

The Service is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, with respect to the Service.

## 7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

## 8. Governing Law

This EULA is governed by the laws of the State of Illinois, United States, without regard to its conflict of law principles.

## 9. Changes to This EULA

We reserve the right to modify this EULA at any time, in our sole discretion, by posting the revised EULA on our website or within the Service. Changes will take effect immediately upon posting unless otherwise specified. For material changes, we will provide at least thirty (30) days advance notice where feasible, but reserve the right to make immediate changes for legal compliance, security, or operational reasons. Your continued use of the Service after any changes constitutes acceptance of the revised EULA.
